1. Purpose and Scope
These Terms of Service govern your use of yodexa.com and define the operational principles guiding our custom software engineering, website development, mobile application, and design services.
Every custom client engagement is governed by an explicit statement of work or master services agreement detailing project scope, milestones, deliverables, and payment schedules.
2. Intellectual Property and Handover
After the agreed payment conditions are met, we deliver the source files and documentation listed in your project agreement. That agreement defines rights to custom work and licenses for existing tools and third-party components.
Any assignment or license is limited to rights the provider holds and can transfer. Existing tools and third-party components remain owned by their respective rights holders and subject to their licenses. The project agreement specifies the rights needed to use and maintain the deliverables.
3. Delivery Obligations and Scope Changes
The project agreement defines technical requirements, acceptance criteria, responsibilities, any specialist testing, and post-launch support. A preliminary estimate is not a guarantee of security, availability, or commercial results.
Estimates provided during initial scoping discussions are directional. Binding deadlines and fixed costs are established only through approved technical specifications signed by both parties.
4. Governing Law and Dispute Resolution
In the event of any question or dispute arising from these terms or our professional services, the parties agree to seek an amicable, good-faith technical resolution prior to formal proceedings.
Any unresolved dispute shall be adjudicated under the jurisdiction explicitly stipulated in the respective client master services agreement.
